The Microsoft Utility Rate Service is a database of electric utilities and rates indexed by location within the United States, gathered from Partner Utilities and/or from publically available information. Using this Service, developers can find electricity providers and rates when available in a given area, or area averages as provided by the U.S Energy Information Administration (EIA).

MICROSOFT UTILITY RATE SERVICE TERMS OF USE

1. Services and Terms of Use. Throughout this web site, Microsoft provides you with access to a variety of resources, which may include download areas, APIs, Datasets and other information (collectively "services"). This web site and the services that Microsoft provides to you through it, including any updates, enhancements, and/or new features, are subject to the following Terms of Use ("TOU"). Microsoft may change or update the TOU at any time without notice to you.

2. Privacy and Protection of Personal Information. In order to operate and provide the service, Microsoft may collect certain information about you. As part of the service, Microsoft may also automatically upload information about your computer, your use of the service, and service performance. Microsoft uses and protects that information as described in the Microsoft Online Privacy Statement (http://go.microsoft.com/fwlink/?LinkId=74170). In particular, Microsoft may access or disclose information about you, including the content of your communications, in order to: (a) comply with the law or respond to lawful requests or legal process; (b) protect the rights or property of Microsoft or our customers, including the enforcement of our agreements or policies governing your use of the service; or (c) act on a good faith belief that such access or disclosure is necessary to protect the personal safety of Microsoft employees, customers, or the public.

The service is a private computer network that Microsoft operates for the benefit of itself and its customers. Microsoft retains the right to block or otherwise prevent delivery of any type of email or other communication to or from the service as part of our efforts to protect the service, protect our customers, or stop you from breaching this contract. The technology or other means Microsoft uses may hinder or break your use of the service.

3. Changes to the Service; Cancellation or Termination. Microsoft may change the service or delete features at any time and for any reason. Microsoft may cancel or suspend your use of the service at any time. Microsoft's cancellation or suspension may be without cause and/or without notice. Upon service cancellation, your right to use the service stops right away.

4. Datasets. The service provides you with rate and fee information related to the delivery of electricity by certain electricity utilities in the United States of America (the "Datasets"). Microsoft organizes and displays Datasets in various content categories and this categorization is provided for your convenience only. The Datasets contain information from third parties. Microsoft makes no representation or warranty about the quality or accuracy of the Datasets or that the Datasets will be placed in relevant content categories, or that each listing, description or display of Datasets is accurate, complete or up to date. You assume all risk, liability and potential losses associated with your access to, and use of, Datasets.

5. Dataset APIs. Subject to your compliance with this TOU you may use the services application program interfaces (API) made available on this web site to write, develop or host online applications, web sites, online services or internet connected applications ("applications") that interface with and distribute the Datasets, or any portion of the Datasets. If you develop applications, those applications must also conform to this TOU, and any additional technical specifications, documentation or policies provided or made available to you by Microsoft from time to time, including but not limited to the following:

a. You will provide the Datasets to users on "as is" terms, with disclaimers substantially equivalent to those set forth in the Warranty section of this TOU;

b. You may not retain any copies of the Datasets and may only make direct server calls to the Microsoft servers for the Datasets to distribute the Datasets to your user immediately upon receipt by your server;

c. You will not reproduce, modify, distribute, decompile, disassemble or reverse engineer any portion of the APIs; and

d. If you become aware that any of your users are in material breach of this TOU or any provisions you are required to offer under this TOU, then you will notify Microsoft promptly of such breach and promptly take commercially reasonable corrective action at your expense to remedy such breach. Upon Microsoft's request you will either (i) use commercially reasonable efforts to obtain such equitable relief to prevent harm to Microsoft or its licensors or suppliers, or (ii) assign any of your applicable rights to permit Microsoft or its licensors or suppliers to seek such equitable relief. These obligations survive this TOU Microsoft may limit the number of requests that you can make to Datasets to protect Microsoft's systems or to enforce reasonable limits on your use of the Datasets. Microsoft may change, deprecate or republish the APIs from time to time. It is your responsibility to ensure that calls made to the Datasets are compatible with then-current APIs.

6. Windows Live ID. To use the service, you may have to establish a Windows Live ID Account. You are responsible for your compliance with the Windows Live ID terms and conditions or other terms of use as may be required to open and use a Windows Live ID account. You are also responsible for all activity that takes place under your Windows Live ID account and/or passwords. The Windows Live ID terms of use apply to your use of the service. If there is a conflict between this TOU and the Windows Live ID terms of use, the Windows Live ID terms of use will control for your Windows Live ID account.

7. Separate Agreements. If you have a separate agreement with Microsoft for any portion of the services, the terms of that agreement will govern your use of that portion of the services. If there is a conflict between this TOU and that agreement, the terms of that agreement will control for that portion of the services.

8. No Unlawful or Prohibited Use. As a condition of your use of the services, you will not use the services for any purpose that is unlawful or prohibited by these terms, conditions, and notices. You may not use the services in any manner that could damage, disable, overburden, or impair any Microsoft server, or the network(s) connected to any Microsoft server, or interfere with any other party's use and enjoyment of any services. You may not attempt to gain unauthorized access to any services, other accounts, computer systems or networks connected to any Microsoft server or to any of the services or act to deny others access to the services. You may not misrepresent your identity or use the service to harm anyone or impair their use of the service. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available through the services. You may not remove modify or tamper with any notice or link that is incorporated into the services. If Microsoft believes that unauthorized or improper use is being made of the services, Microsoft may, without notice and in its sole discretion, take such action as it deems appropriate, including blocking messages from a particular Internet domain, mail server or IP address.

9. Intellectual Property Rights. Microsoft, its licensors and suppliers retains all right, title and interest in and to the services and website, including all copyrights, patents, trade secrets, trademarks and other intellectual property rights. Microsoft reserves all rights not expressly granted.

10. No Warranty. Microsoft provides the service "as-is," "with all faults" and "as available." Microsoft does not guarantee the suitability, reliability, availability, accuracy or timeliness of information available from the service. Microsoft gives no express warranties, guarantees or conditions. You may have additional consumer rights under your local laws that this TOU cannot change. Microsoft disclaims all warranties with regard to the service, including any implied warranties including those of merchantability, fitness for a particular purpose, workmanlike effort, title and non-infringement.

11. Liability Limitation. Microsoft will not be liable to you for any damages related to the services, including direct, punitive, consequential, lost profits, lost data, special, indirect or incidental damages, to the maximum extent the law permits. This limitation applies to anything related to the service, including its Datasets and APIs, performance of the web site, viruses or other disabling features that affect your access to or use of the service, incompatibility between the service and other services, software and hardware, delays or failures you may have in initiating, conducting or completing any transmissions or transactions in connection with the service in an accurate or timely manner, and claims for breach of contract, breach of warranty, guarantee or condition, strict liability, negligence, or other tort. It also applies even if this remedy does not fully compensate you for any losses, or fails of its essential purpose, or Microsoft knew or should have known about the possibility of the damages. Some states or jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations or exclusions may not apply to you. If you are dissatisfied with any portion of the web site, the services or with any of these terms, your sole and exclusive remedy is to discontinue using the web site and services.

12. Feedback. If you provide feedback to Microsoft, you give to Microsoft, without charge, an irrevocable, perpetual, sublicensable right to use, share and commercialize your feedback in any way and for any purpose. You also give to third parties, without charge, any patent rights in your feedback needed for their products, technologies and services to use or interface with any specific parts of a Microsoft software or service. You will not give feedback that is subject to a license that requires Microsoft to grant any rights or make any payments to third parties because the feedback was incorporated into a Microsoft software product, service, or document. These rights survive this TOU.

13. Links to Third Party Sites. The service may contain links to third-party Web sites which will let you leave Microsoft's site. These third-party Web sites are not under Microsoft's control. Microsoft is not responsible for the content, including webcasting or any other form of transmission, of any linked site or any link contained in a linked site, or any changes or updates to such sites. If Microsoft has included these links in the service, we provide them to you as a convenience only. The inclusion of these links is not an endorsement by Microsoft of any third-party Web site, service or product. Microsoft reserves the right to disable links to any third-party web site that you or other customers post on the service.

14. Unsolicited Ideas. Microsoft or any of its employees do not accept or consider unsolicited ideas, including ideas for new advertising campaigns, new promotions, new products or technologies, processes, materials, marketing plans or new product names. Please do not send any original creative artwork, samples, demos, or other works. The sole purpose of this policy is to avoid potential misunderstandings or disputes when Microsoft's products or marketing strategies might seem similar to ideas submitted to Microsoft. So, please do not send your unsolicited ideas to Microsoft or anyone at Microsoft. If, despite Microsoft's request that you not send Microsoft your ideas and materials, you still send them, please understand that Microsoft makes no assurances that your ideas and materials will be treated as confidential or proprietary.

15. Governing Law. Washington state law governs the interpretation of this TOU and applies to claims for breach of it, regardless of conflict of laws principles. All other claims, including claims regarding consumer protection laws, unfair competition laws, and in tort, will be subject to the laws of your state of residence in the United States, or if you live outside the United States, the laws of the country to which Microsoft directs your service. For all disputes arising out of or relating to this TOU the state or federal courts in King County, Washington, USA will be the exclusive jurisdiction and venue.
